Terms of Service

Welcome to helloAISearch, a service operated by PulseSpark AI LLC, a Pennsylvania limited liability company (“PulseSpark AI,” “helloAISearch,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of helloaisearch.com, app.helloaisearch.com, our websites, applications, APIs, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to be legally bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

For purposes of these Terms:

Account means your registered helloAISearch account.

Content means any information you submit to the Service, including prompts, project information, domains, competitors, files, feedback, communications, and other materials.

Customer Data means information submitted by you through the Service.

Reports means visibility reports, AI rankings, citations, Share of Voice metrics, dashboards, recommendations, exports, and other generated outputs.

Subscription means any paid plan purchased through the Service.

Service means all websites, applications, APIs, software, dashboards, reports, and related services provided by PulseSpark AI LLC.

2. Eligibility

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, whichever is greater, to create an account.

If you create an account on behalf of a business or organization, you represent and warrant that you have authority to bind that organization to these Terms.

The Service is intended primarily for businesses and professional users.

3. Account Registration

You agree to:

• provide accurate information;
• keep your information current;
• maintain the confidentiality of your login credentials;
• promptly notify us of unauthorized account access;
• accept responsibility for activities occurring under your account.

You are responsible for maintaining the security of your account.

4. Free Trial

helloAISearch may offer a free trial for new users.

Unless otherwise stated:

• no payment method is required to begin the trial;
• trial features may be limited;
• trial availability may change at any time;
• we may modify or discontinue trial offers without notice.

After the trial expires, certain functionality may be suspended until a paid subscription is activated.

5. Subscription Plans

Paid plans provide access to additional features and usage limits.

Subscription features, pricing, usage limits, and available AI providers are described on our website and may change from time to time.

Certain enterprise features may require a separate written agreement.

6. Billing

Paid subscriptions are billed in advance on a recurring basis unless otherwise stated.

All payment processing is securely handled by Stripe, Inc.

We do not receive or store your complete payment card information.

By purchasing a subscription, you authorize Stripe to charge your selected payment method for all applicable subscription fees, taxes, and other charges.

Subscriptions automatically renew unless canceled before the next billing cycle.

You may manage or cancel your subscription through your account settings.

Cancellation prevents future renewals but does not automatically generate refunds for prior billing periods unless required by law or expressly stated by us.

If we are unable to collect payment, we may suspend or terminate your subscription.

7. Taxes

Unless otherwise stated, prices do not include applicable taxes.

You are responsible for any taxes required by applicable law.

8. Customer Content

You retain ownership of the information you submit to helloAISearch.

Nothing in these Terms transfers ownership of your Customer Data to PulseSpark AI LLC.

You are solely responsible for ensuring you have the legal rights necessary to submit Customer Data to the Service.

You represent and warrant that your use of the Service does not violate:

• applicable law;
• contractual obligations;
• intellectual property rights;
• privacy rights;
• confidentiality obligations.

9. License Granted to PulseSpark AI

To operate the Service, you grant PulseSpark AI LLC a worldwide, non-exclusive, royalty-free, revocable license to:

• host;
• store;
• reproduce;
• transmit;
• display;
• process;
• analyze;
• modify as technically necessary;
• create de-identified and aggregated derivatives of Customer Data

solely for the purposes of:

• providing the Service;
• maintaining security;
• improving functionality;
• developing new features;
• creating benchmarks;
• improving artificial intelligence systems;
• training and improving our machine learning models and algorithms, on the terms described in the Privacy Policy;
• complying with legal obligations.

You may withdraw the benchmarking and model-training purposes above at any time from Settings → Account → Data use, which excludes your account from that work. The remaining purposes are necessary to operate the Service and apply for as long as your account is active.

This license ends when your Customer Data is deleted, except for information retained as required by law or information that has been de-identified or aggregated so it no longer identifies you.

10. Artificial Intelligence Services

The Service uses one or more third-party artificial intelligence providers to generate requested responses.

These providers may change over time.

By using the Service, you authorize us to transmit prompts and related project information necessary to fulfill your requests.

AI-generated outputs may:

• be inaccurate;
• be incomplete;
• contain outdated information;
• omit relevant information;
• contain unexpected results.

You are responsible for reviewing and independently verifying important information before relying on AI-generated outputs for business, legal, financial, medical, or other significant decisions.

helloAISearch is an informational tool and does not provide legal, accounting, investment, medical, or other professional advice.

11. Reports and Recommendations

Reports, rankings, recommendations, visibility scores, Share of Voice metrics, competitive analyses, and similar outputs are generated using proprietary methodologies and third-party AI responses.

Although we strive for accuracy, we do not guarantee:

• completeness;
• accuracy;
• availability;
• uninterrupted operation;
• identical results across AI providers.

Search engines and AI platforms change continuously, and reported results may vary over time.

12. Acceptable Use

You agree not to:

• violate applicable law;
• infringe intellectual property rights;
• upload malicious software;
• interfere with the operation of the Service;
• attempt unauthorized access;
• reverse engineer the Service except where prohibited by law;
• scrape non-public systems;
• bypass subscription limits;
• share accounts without authorization;
• abuse APIs;
• interfere with other customers;
• conduct denial-of-service attacks;
• distribute spam;
• use the Service for illegal surveillance or unlawful data collection;
• attempt prompt injection or other attacks against the Service or its infrastructure.

We reserve the right to suspend or terminate accounts engaged in abusive or unauthorized activity.

13. Beta Features

From time to time we may offer beta, preview, experimental, or early-access features.

Beta features:

• may change without notice;
• may be discontinued;
• may contain bugs;
• may not be suitable for production use.

Your use of beta features is voluntary.

14. Intellectual Property

The Service, including its software, source code, user interface, visual design, branding, trademarks, logos, documentation, proprietary methodologies, algorithms, ranking systems, reports, dashboards, recommendations, graphics, and all related intellectual property, are owned by PulseSpark AI LLC or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted in these Terms, you may not:

• copy or reproduce the Service;
• distribute or resell the Service;
• modify or create derivative works of the Service;
• sublicense or transfer the Service;
• remove copyright or proprietary notices;
• use our trademarks without prior written permission.

Nothing in these Terms transfers ownership of our intellectual property to you.

15. Feedback

If you provide suggestions, ideas, enhancement requests, feature requests, comments, bug reports, or other feedback regarding the Service, you grant PulseSpark AI LLC a perpetual, worldwide, royalty-free, irrevocable, transferable license to use, modify, publish, distribute, and incorporate that feedback into the Service without compensation or attribution.

16. Confidentiality

We recognize that customer information may include confidential business information.

Subject to these Terms and our Privacy Policy, we will use commercially reasonable efforts to protect Customer Data from unauthorized disclosure and will use Customer Data only as necessary to:

• provide the Service;
• maintain security;
• improve the Service, including the purposes described in section 9;
• comply with legal obligations;
• enforce these Terms.

You are responsible for maintaining the confidentiality of your own account credentials and restricting access to your account.

17. Service Availability

We strive to provide a reliable and continuously improving Service.

However, the Service depends upon third-party providers, including cloud infrastructure, payment processors, internet service providers, and artificial intelligence providers.

Accordingly:

• uninterrupted availability is not guaranteed;
• individual AI providers may become unavailable;
• maintenance may temporarily interrupt service;
• new releases may temporarily affect functionality.

We reserve the right to:

• modify features;
• discontinue features;
• replace third-party providers;
• introduce new functionality;
• remove functionality;
• change usage limits;
• perform scheduled or emergency maintenance.

Where reasonably practical, we will attempt to provide advance notice of planned maintenance.

18. Security

We implement commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data.

While we work to maintain appropriate security controls, no internet-based service can guarantee complete security.

You acknowledge and accept the inherent risks associated with transmitting information over the internet.

19. Suspension and Termination

We may suspend or terminate your access to the Service if:

• you violate these Terms;
• payment cannot be collected;
• we reasonably believe your account is being used fraudulently or unlawfully;
• your activities threaten the security, availability, or integrity of the Service;
• required by applicable law.

You may terminate your account at any time by canceling your subscription and requesting account deletion.

Termination does not relieve either party of obligations that accrued before termination.

20. Effect of Termination

Upon termination:

• your right to use the Service immediately ends;
• subscriptions will not renew;
• Customer Data will be handled according to our Privacy Policy;
• certain information may be retained where required by law;
• licenses granted under these Terms that are necessary for retained or de-identified information will survive.

21. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PULSESPARK AI LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• TITLE;
• NON-INFRINGEMENT;
• ACCURACY;
• RELIABILITY;
• AVAILABILITY.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL OPERATE WITHOUT INTERRUPTION;
• THE SERVICE WILL BE ERROR FREE;
• AI OUTPUTS WILL ALWAYS BE ACCURATE;
• REPORTS WILL ALWAYS BE COMPLETE;
• THIRD-PARTY AI PROVIDERS WILL REMAIN AVAILABLE.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

PULSESPARK AI LLC SHALL NOT BE LIABLE FOR:

• LOST PROFITS;
• LOST REVENUE;
• LOSS OF GOODWILL;
• BUSINESS INTERRUPTION;
• LOST DATA;
• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• SPECIAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• EXEMPLARY DAMAGES;
• PUNITIVE DAMAGES,

EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PULSESPARK AI LLC FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

23. Indemnification

You agree to defend, indemnify, and hold harmless PulseSpark AI LLC, its members, managers, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and reasonable attorneys' fees arising out of or related to:

• your Customer Data;
• your violation of these Terms;
• your violation of applicable law;
• your infringement of another person's rights;
• your misuse of the Service.

24. Export Controls

You agree to comply with all applicable United States export control and sanctions laws.

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country subject to comprehensive U.S. sanctions, and that you are not listed on any U.S. government restricted-party list.

25. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

Subject to applicable law, any legal action arising out of these Terms or the Service shall be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania.

You consent to the personal jurisdiction of those courts.

26. Force Majeure

Neither party shall be liable for delays or failures resulting from causes beyond its reasonable control, including but not limited to:

• natural disasters;
• acts of government;
• labor disputes;
• internet outages;
• utility failures;
• cyberattacks;
• failures of third-party infrastructure providers;
• failures of third-party AI providers;
• war;
• terrorism;
• epidemics or pandemics.

This section does not excuse your obligation to pay amounts already owed.

27. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will provide notice through the Service, by email where appropriate, or by other reasonable means before the updated Terms become effective.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

28. Miscellaneous

These Terms, together with our Privacy Policy and any additional written agreements between you and PulseSpark AI LLC, constitute the entire agreement between the parties regarding the Service.

If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision shall not constitute a waiver of that provision or any other right.

You may not assign or transfer these Terms without our prior written consent.

We may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets.

Sections relating to intellectual property, confidentiality, payment obligations, disclaimers, limitations of liability, indemnification, governing law and venue, and any provisions that by their nature should survive termination will survive termination of these Terms.
